内容摘要 公司跨国化已成为当今世界经济发展、合作的主要趋势。不仅巨型企业而且中小型企业都在跨国化。如今的跨国公司已不再是帝国主义经济侵略扩张的代名词，而成为各个国家为争取外资、引进先进技术和设备及管理方法，占领国际市场所采用的一种最普遍的方式。 随着经济的全球化，跨国公司对东道国经济发展起着日益重要的作用，其社会责任问题也逐渐成为理论界的热点话题，本文在论述企业社会责任的涵义、跨国公司需要承担的社会责任、跨国公司社会责任缺失的典型案例的基础上，分析了跨国公司社会责任缺失的重要原因--制度因素，提出了完善立法、发挥工会作用等几个方面的建议，以期对规范在华跨国公司社会责任能有一定作用。 关键词： 跨国公司、社会责任缺失、制度分析、相应对策 ABSTRACT Transnational companies have become the main trend of cooperation and economic development in todays world. Not only large enterprises，but also small and medium-sized enterprises are transnational. Today, the imperialist transnational corporations are no longer synonymous with the expansion of economic aggression, and for each country as a foreign investment, introduce advanced technology and equipment and management methods used in the international market occupation of one of the most general way. With the economic globalization, transnational corporations play an increasingly important role on economic development in the host country, and their social responsibility is becoming a hot topic in theoretical circles.
