政府管制放松与投资者保护变迁 蔡宁 魏明海 中山大学管理学院，510275 Government Deregulation and Changes of Investor Protection CAI Ning，WEI Ming-hai School of Business, Sun Yat-Sen University, P.R.China, 510275 摘要：本文以新比较经济学提出的“最优制度安排的状态依存性”为理论依据，提出政府管制放松是考察转型经济中投资者保护问题的一个有意义的研究视角。研究以我国近30年经济体制改革作为管制放松背景，从改革指导思想演进以及由此带来的法律法规和改革措施等相应制度建设两个层面，考察我国投资者保护问题。本文将我国投资者保护的发展历程划分为三个阶段：侧重外商投资者保护——侧重国有出资人保护——开始更加关注市场投资者保护。(本文主要在以下三个方面有所拓展：第一，从管制放松角度考察投资者保护问题，为转型经中的投资者保护研究提供了一个新视角；第二，梳理了我国投资者保护导向的变迁历程，更为全面地反映出我国投资者保护的逐步完善化；第三，以中国的改革实践发展了有关转型经济的研究思想。 关键词：政府管制放松，投资者保护，经济体制改革 Abstract: Based on the New Comparative Economics, we posit that government deregulation has significant impact on investor protection in transition economics. This paper studies investor protection in China from changes of reform guidelines and development of law, rules, and reform policies. We also posit the evolution of investor protection in China can be divided into three phases: emphasizing the protection of foreign investors, emphasizing the protection of state owners, and beginning to emphasize the protection of domestic investors. The main contributions of this paper are: first, to investigate the impact of government deregulation on investor protection in China; second, to review the evolution of investor protection in China; third, to enrich the research on transition economics with economic system reform of China. Keywords: Economic system reform, Government deregulation, Investor protection 1 引言 上世纪90年代开始，LLSV等人的一系列经验研究文献证明了法律制度对投资者保护的重要影响。近年来，转型经济中的投资者保护问题逐渐受到关注。有从法律层面探讨[1][2]，也有研究关注法律之外的非正式制度安排[3][4]和行政治理的作用[5][6]。本文则尝试从政府管制放松角度对我国的投资者保护导向及其变迁过程做一梳理。 正如新比较经济学指出的：制度的效率性是状态依存的，特定环境的具体特征决定了何为最优制度安排。就发达国家而言，法律层面的措施是保护产权的有效制度，而发展中国家由于不具备相应的政府效率、信息透明度等制度环境，放松管制可能是更为有效的产权保护途径[7]。纵观我国近30年经济体制改革历程，改革本身就是打破高度集中计划经济体制、不断提高市场化水平的管制放松过程。而中国共产党历次代表大会发布的文件和决议，从改革指导思想层面确立了不同阶段改革的投资者保护导向，并推动了相应的制度建设。本文并不否认法律在投资者保护中的重要作用，但是在转型经济中，法律健全更多地表现为受制于外部经济体系的内生性发展过程。从这一点出发，将法律置于转型的框架下，梳理改革指导思想的演进历程以及由此带来的法律法规和改革措施等各项制度的发展，作为分析我国投资者保护问题的切入点。本文认为这完全是符合我
