上市公司自愿牲信息披露阎题分析
以福建省力例

摘 要：本文选取福建省48家①上市公司2006年的年报为研究样本，对照中国证监会2005年12月26日发布的
《公开发行证券的公司信息披露内容与格式准则第2号年度报告的内容与格式》(以下简称《2号准则》)，对其
自愿性信息披露的内容进行了归纳和总结，并探讨了自愿性信息披露程度与公司业绩、“戴帽”“摘帽”和公司规模
等因素之间的关系，最后从上市公司内部治理结构、证券投资者以及国家和社会监督三个角度提出相关的对策建
议。

Analysis on the Voluntary Disclosure of Information of Listed Company

Abstract：Taking 48 listed companies’annals in 2006 of F~jian province as the sample for study，con．
trasting tl1 what was issued by China’S Securities Regulatory Commimion on 26 December 2005：The
second content and formatprinciple of company’s information disclosure about negotiable securities in
public circulation—the content and format of annual bulletin(it’S short for the principle ofnumber2 in
the following text)，the article sun．if up the content of company’S voluntary disclosure of information and
discusses the relationships among the content of the voluntary disclosure of information and the
company’s performance，“wearing cap’’and“taking off cap’’and the company’s size and SO forth
． Finally，
the article puts forward related policies and suggestions台om the perspective of listed companies’internal
governance structure，investors about securities as well as state and social supervisions．
