经营者集中论文：经营者集中反垄断审查制度研究 【中文摘要】经营者集中对市场竞争具有重要的影响,经营者集中反垄断审查在反垄断立法中具有重要的地位,对规范市场竞争秩序具有十分重要的作用。欧盟和美国都从立法上对企业并购进行了相应的规制。文章从理论上详细解释了经营者集中的含义及其特点,将经营者集中与其他相关用语的关系予以厘清,在此基础上对经营者集中反垄断审查适用的情形与理论基础进行了深入的分析。经营者集中反垄断审查的基本制度包括审查标准、豁免制度与正当程序三个方面。美国通过成文法确立了经营者集中反垄断审查的“实质减少竞争”标准;欧盟的审查标准经历了从”滥用市场支配地位”到“市场支配地位”标准的转变,最终在2004年确定了趋同于美国的“严重妨碍有效竞争”标准,且两者审查时考虑的因素也逐渐趋于一致。而在程序方面,双方都规定了严格的程序,以保证实体的公正性。对具体案件进行审查时,还要考虑相关市场的界定,市场份额和市场集中度的测定,集中对市场竞争的潜在影响,对市场进入、买方力量、经济效率等因素的影响。从对可口可乐收购汇源果汁一案的审查过程来看,我国的反垄断法还有很多需要完善的地方,《反垄断法》目前确立的制度有一些还需要出台实施细则与之相配套。我国的立法应该从“相关市场”的界定,市场集中度的测定方法等方面进行完善;笔者还就行使反垄断审查权的执法主体等若干问题的改进提出了一些建议。 【英文摘要】This thesis is composed by three parts. The first part is the preface. introducing the status of the undertakings concentration control legislation in antitrust law system, analyzing the effect of the undertakings concentration control. It makes a brief overview of the impact of the undertakings concentration on competition in the market, analyze the necessity of antitrust review of the concentration between undertakings. In this part, the author also sketches out the legislation about the mergers and acquisitions-related legislation in the EU and the US.The second part is the body, divided into four chapters, a total of 34,000 words. The first chapter, in theory, is a detailed analysis of the meaning and the characteristics of concentration between undertakings, clarifying the relationship between the concentration between undertakings and other relevant concepts. On this basis, we can make an in-depth analysis of antitrust review over the cases and theoretical basis of concentration between undertakings.The second chapter of the body describes the basic system of antitrust review on the concentration between undertakings.
