基于嵌入关系视角的公司裂变型创业绩效风险管理 　　[摘 要] 公司裂变型创业在有效医治“大企业病”、推动企业转型升级、激活创新和提升企业核心竞争力等方面发挥着显著的作用。而裂变型创业过程中母体企业与新创企业间的关系错综复杂，其关系的质量已成为影响创业绩效的关键因素之一。为提升母体企业与新创企业的绩效，本文从两者的嵌入关系入手，依次分析了关系嵌入、结构嵌入以及过度嵌入所带来的绩效风险，从博弈论和关系组织网络角度提出了提升创业绩效的策略。 　　[关键词] 公司裂变型创业；新创企业；母体企业；嵌入关系；风险管理 　　[中图分类号] F062.9 [文献标识码] A [文章编号] 1671-0037（2017）8-72-4 　　Company Fission-type Entrepreneurial Performance Risk Management Based on Embedded Relation Perspective 　　Lu Yuanyuan An Ziyan Liu Liping Yu Linlin Zhang Juanli Zhang Jing 　　（Management School， Henan University of Science and Technology， Luoyang Henan 471000） 　　Abstract： The company fission-type ventrepreneurship plays a significant role in effectively treating big enterprise diseases， promoting the transformation and upgrading of enterprises， activating innovation and enhancing the core competitiveness of enterprises. However， the relationship between parent enterprise and start-up enterprise in the fission-type start-up process is complex， and the quality of their relationship is one of the key factors that affect entrepreneurial performance. In order to improve the performance of parent enterprise and start-up enterprise， this article starts with their embedded relationship， analyzes the performance risk caused by relational embedding， structural embedding， and over-embedding in turn， and puts forward the strategies to promote entrepreneurship performance， from the angles of game theory and relational organization network. 　　Key words： company fission-type entrepreneurship；start-ups；parent enterprise；embedding relation； risk management 　　1 引 言 　　作为一种独特的企业创业活动，公司裂变型创业是企业衍生的重要途径之一。衍生是指从母体中脱离出新个体，新个体既与母体有关联，又有自身的独特属性。企业衍生的母体可以是大学、企业、科研机构等（Manuela Perez等，2003）[1]。公司裂变型创业以企业为衍生母体，是指个体或者团体离开原来的企业建立新的企业，在这个过程中新创企业会利用原企业的有关资源。但是，原企业或雇主对新创企业却并不拥有所有权或控制权[2]。 　　在公司裂变型创业中，员工作为行动主体快速响应市场需求，捕捉新的机会并主动走向市场，依托母体企业的优势采用新的模式开辟新市场、开展新业务，这种创业形式为众多企业面临的高管离职、人员臃肿、创新动力不足等问题提供了比较好的解决策略。然而，不是所有的公司裂变型创业都能取得良好的效果。在裂变后的发展过程中，母体企业与新创企业之间关系的管理是影响创业绩效的重要因素之一。根据现有文献，员工离职创业不但会
