6.货款的支付
Chapter Six: Payment of Goods Means of Payment Mode of Payment Ⅰ. Means of Payment Means of Payment include cash and bills. Bills, also called negotiable instruments, is an unconditional order or promise to pay an amount of money that is easily transferable from one person to another. Bills include Bill of Exchange, promissory Note and Check. (Ⅰ) Bill of Exchange/Draft 1. Definition Law of the Peoples Republic of China on Negotiable Instruments : Article 19: A bill of exchange is a negotiable instrument, signed and issued by the drawer, who authorizes the drawee to pay unconditionally a sum certain in money to the payee or the holder at sight or on a specified date. The parties to a Bill of Exchange A Bill of Exchange involves three parties: Drawer----the person who writes the order and gives directions to the person to make a specific payment of money. He is usually the exporter or his bank in import and export trade; usually, he is also a creditor of the drawee. Drawee---- the person to whom the order is addressed and who is to pay the money (Payer). He is usually the importer or his appointed bank under L/C in import and export trade. Payee---- addressee of the bill of exchange, the person who has the right to receive the payment. The drawer and the payee may be often the same person. In this case, the bill may be worded “pay to our order…”. He is usually the exporter himself or his appointed bank in import and export trade. There are three kinds of ways to fill up the payee: A.Restrictive payee Pay A Co only; Pay A Co, not transferable; ――this type cannot be transferable. B.To order Pay A Co. or order ; Pay to the order of A Co.; Pay A Co.; ――this type requires endorsement when transferable C. To bearer Pay bearer; Pay A Co. or Bearer; ――this type can be transferable without endorsement . 2.
