摘 要 并购作为企业实现外部扩张的战略性工具，不仅可以实现资源互补，打造完整的产 业链，提升企业核心能力，还可以促进行业整合，推动产业升级。在经济全球化和中国 经济转型发展的背景下，并购正逐步显示其强大的生命力，成为中国企业快速发展的重 要选择。 并购是一场高风险与高收益并存的豪赌，是一项十分复杂的经济活动，与并购交易 的蓬勃发展相比，并购成功率并不高。而大量的并购理论研究和实践证明，整合是决定 企业并购成败的关键因素。因此，并购后整合研究是企业并购实践提出的必然要求。 本文在研究方法上注重理论联系实际，规范、实证分析相结合，综合运用案例研究 法、系统分析法、对比分析法，基于系统管理视角对企业并购后的整合问题进行综合研 究。前两章是对论文背景、思路及研究内容的简介，以及在前人理论研究基础上对并购 整合理论的概括与提炼。第三章立足我国并购实践，结合并购行业相关统计数据和新闻 资料，对我国并购现状和存在的问题作了深入分析。第四、五章基于系统管理视角对企 业并购整合核心要素体系、要素间的逻辑联系、外部供应链整合等进行了系统的分析与 研究，并构建了基于系统管理视角的并购整合层次框架。为使研究更具实际参考价值， 文中案例研究也力求具有代表性，并选取成功与失败案例从不同角度对比分析。文章落 脚点在于结合我国并购实践，及第三章所述我国并购整合现状与问题，从问题出发，提 出针对性的对策建议，以期对我国并购整合实践有一定的指导意义。 关键词：企业并购；并购后整合；系统管理；供应链整合；整合要素体系 I II Abstract As a strategic tool for enterprises to achieve external expansion, MA can not only acquire the complementary advantages, create a complete industrial chain, enhance the core competitiveness of enterprises, but also promote the integration of the industry. In the background of economic globalization and Chinese economic transformation and development, M A is gradually showing its strong vitality, and becoming an important option for Chinese enterprises to get rapid development. M A is a high risk and high income gamble, it is a very complex economic activity, compared with the rapid development of mergers and acquisitions, the success rate is not very high. M A theory research and practice proves that integration is the key factor to the success of M A. Therefore, research on MA theory is a requirement put forward by enterprise MA practice.
