AbstractRotatingSavingsandCreditAssociation（abbreviatedasROSCA），asaspontaneouswayoffolkcapitalfinancing,relyingontheconceptofthefamilylineageandsolidarityofOrientalsocieties,bornwiththetraditionalfolkculturesuchasmutualassistanceandcooperation.Unliketheimpressionswhatthemostresearchesoncivillaworcustomarylawbroughttousinthepast，ROSCAasahistoricfolkfinancialcustom，itisactivesystempracticeofcivillawintheeconomicdevelopedareas；itisnotonlyhastheadvantagessuchasflexibilityandhighefficiencysoitbecomethemorepreferredmeansoffinancingbypeople，butalsoitistheimportantproductofthe“guanxiresources”inChina’straditionalsociety，itsatisfiesthesocialneedsandself-protectinstinctofpeopletosomeextent。AstheROSCAturningfromthemutualprimitiveevolutiontoprofitorspeculativebehavior，theattitudesofnationalofficialsystemtothiskindofcivilorderturningfromneglecttofocus。IthastherelevantrecordsontheofficialcivilcustomsinvestigationreportasearlyastheperiodoftheRepublicofChina,butitstilldoesn’tbeenmentionedintheofficiallegalsystem。Butinthereallife，thehabitofROSCAwhichisgrowinginthecivilsocietywiththelawastheofficialsystem，theinteractionbetweenthetwoisneverstop。ThisarticleselectedBiaohuithatisatypicalwayofROSCAasempiricalresearchobject,hopesthatthroughitinspecttheexistenceofthefoundationofROSCA；andinthealienationofitsfoundationledstotheevolutionofitsoperationformsandsocialfeatures，andtherelevantlegalissuesitcausedinsocialtransformation；combinedwiththeexperiencesandlessonsaboutthelegislationandregulationofJapan，Taiwanandotherregions；probeintowhatkindofwaythenationallawshouldchoicetothebenigninteractivewithROSCA,sothatcouldbothtotakethereasonableregulationtoavoiditsrisk,andprotectitsdevelopment；takeeffectiveuseofthesocialresourcesthatcontainedinsuchtraditionalpractices,forourcountrysfinanceinnovationandsocialsystemprovidesagoodsource.Besidesanintroductionandepilogue,thisarticlemainlydividesintothreeparts:ThefirstpartisanoverviewoftheROSCA,mainlyfromthehistorytextualresearchonitsoriginandgeneralizeitscur
