内容提要我国自 1979 年实行改革开放政策以来带对外贸易获得了长足的发展 F其中 许可证贸易是我国对外经济贸易的重要组成部分.近二十年间，随着我国许可证 贸易的发展，国家通过立法、执法和行政管理措施的不断完善、已初步形成了一 套符合我国国惰的法律。本篇论文通过研究和分析 F旨在归纳总结我国许可证贸 易中的一般规律和法律原则事为我盟的技术转让工作服务。本文从考察许可证贸易的历史沿革切入，试图说明许可证贸易是一种新型的 国际贸易形式、它与一般的国际货物买卖不同.因此，有关许可证贸易的法律， 无论是相关的国际条约、商业惯例及各国的立法都有许多特点.而我国关于许可 证贸易的法律与国际现状基本是能够接轨的.本文认为我囡关于许可证贸易的法律有三个基本原则，即国家干预的原则. 保护知识产权的原则，结护受让方合法权益与公平合理的原则.坚持这些原则既 符合我国改革开放、发展社会主义市场经济的需要，又与世界各国开展许可证贸 易的实践现状相吻合。我们需要的是在坚持这三个原则的基础上不断加强和完善 我国的立法和执法。为此，我们要加强国家于预的力度，设法达到以市场换技术 的目的;要加大知识产权保护与利用方面的宣传，既为先进的技术进口创造良好 的国内环境，又为我国的技术出口给以有效的保护。此外 F 我们还要注意审慎地 签定许可证贸易合同，以保证我国许可证贸易法律调整原则得以贯彻落实。关于许可证贸易的立法理论与实践，可以说是一个全新的课题.本人在写作 该文时，常有力不从心之感，卒得史老师的指导和帮助才得以完成.在此向诸位 导师致试挚的谢意.另外本文中表述的个人看法吉不当之处敬请指正.关键词许可证贸易毒国家干预知识产权限制性商业惯例AbstractSince 1979 canying out the policy of reform and opening to the world ，foreign trade in China hωbeen greatly developed. Licence trade is an improtant component of foreign economy and trade in China.
