AbstractPrivatelendingaspartofbroadfinancialchannels，notonlyinthefieldofprivatefinancingplaysanimportantkey，andevenhastoacertainextentonthemacroeconomicimpact.Withtheprocessofthefinancialmarkets，privatelendingisgraduallyself-improvement，andlegalregulationisclearlyintheprocessofitsself-improvementmostcriticalpart.Combinedwiththeauthorinpracticeforthetrialofthecaseofprivatelendingexperience，thispapersummarizesthecasesoftwoprominentprivatelendingdifficultproblems，oneforthecaseofhighinterestprivatelendingawarenessandidentifyissues;Secondcasefortheprivatelendingjointlyrecognizeandidentifytheproblemsofdebt.Byreadingalotofsimilarcasesandrelatedliterature，Itrytoanalyzetheaboveissues，andrefinetheirownindependentviews.Inthefirstpartofthethesishighinterestissuesidentifiedintheanalysis，fromthefourtimestheratelimitforthepartiestoformrationalexpectations，combiningtheborrowerhastopayhighinterestratescanbesetoffagainsttheloanprincipal，theinterestcouldhavebeensettledthroughaseparateinterest-bearingloanprincipal，inthecaseofprivatelending，howtocorrectlyapplytheCivilLawprovisionsofArticle253，thethreemajorpracticalproblemsforanalysis.Analysisofthebasicprinciplesofcivillawfromthestart，throughthecomparisonofdifferentperspectives，weightheprosandconstherebetweenandformconclusions.Finally，specificproblemsextendedtothevoluntaryprinciplesandfairnessconflictvaluechoicequestionsonthetheoreticaldepthofsomedeepened.Thesecondpartofthethesisjointlydebtissuesidentifiedintheanalysis，bycomparingtheexistinglawsandrelevantjudicialinterpretationsoftheprovisions，andfoundtheexistenceoftwodifferentcouplesidentifycommonideasofdebt，andfromtheperspectiveoflegalinterestprotectedanalyzedtryingtoprivatelendingindifferentsubjectsoflegalintereststartingondifferentlegalinterestsconflictbetweenthecontactstartdiscussion，combinedwiththeburdenofproofallocationproblem，theabstractissuesconcrete，finalattempttosummarizeprivatelendingcaseshusbandandwifeco-signeddebtthatstandard.Thispaperdiscussestwomajorissues，butprivatelendi
