摘 要在中国改革开放后，民营企业在我国经济中起到了很好的作用。但是，我国的 民营企业大多是从家族企业，公司治理结构方面非常的不规范。公司治理结构的规范， 在民营企业初期还是不能显现，但是，当民营企业完成了原始积累，进一步发展壮大 的时候，由于公司治理结构中存在的诸多问题，使得民营企业就面临很多的问题。本文以民营企业为研究对象，对国内外公司治理结构研究成果进行了梳理，目前 分析比较了国际上两种主流的公司治理结构模式，指出了民营企业公司治理结构中存 在的问题，对民营企业的产权和激励机制进行了深入研究，提出了民营企业公司治理 结构的目标模式。本文主要有六部分组成，其主要内容包括:本文的研究背景、意义、目的以及思 路，公司治理结构的相关理论基础和对英美、德日两种公司治理结构模式的比较与分 析; 民营企业公司治理结构存在的问题，并对民营企业公司治理结构中最为重要的股 权与激励进行了深入的探讨;提出了我国民营企业公司治理结构的目标模式应以强化 内部治理机制为主。最后，对一家民营企业—光明公司的公司治理结构进行了剖析， 并就优化该公司的公司治理结构给出了建议。关键词:公司治理结构,民营企业,产权,激励机制，股权结构 分类号：F276.5AbstractDue to China’s open and reform policy, the private company has been an important part of Chinese economy, and will play more and more active role in the future. However, most of private company are family-owned, lacking of advanced management and technology, especially lack of efficient and standard corporate governance. In the early stage, lacking of efficient corporate governance has slight negative impact on operations. However, when a private company becomes a large one, it will be hit by many problems resulted from inefficient corporate governance.This thesis focuses on the study on private companies. Firstly, this thesis introduces the theory of corporate governance. Secondly, this thesis compares British-America corporate governance and German-Japan corporate governance Thirdly, this thesis studies deeply on the property rights and incentive mechanism of China s private companies. Finally, this thesis proposes a model of corporate governance of China s private companies.The main contents of the thesis include: an introduction of the background objective, and the way of studying; definition of corporate governance, the theory of principal agent; the comparison of two typical models of corporate governance.
