摘 要企业的高级管理层是企业的核心管理部门，对企业的发展具有非同一般的价 值，如何有效提升公司管层管理工作效率以及工作积极性一直以来是公司管理的 重要内容。上市公司股权激励机制是上市公司激励员工尤其是高管人员的有力武 器,能够起到调动员工的工作积极性、减少企业代理成本损失、提升企业的利润 及投资价值的作用,而且其效力持久。系统的股权激励能够降低企业运营成本, 调动职工的工作积极性,提高公司运行效率,从而增强企业竞争力与凝聚力。本文将以 F 公司为例，通过深入调查研究剖析大陆台资企业高管股权激励政 策具体内容及实施情况，分析政策的利弊以及因此而产生的大陆人员的高流失率 问题。本文通过查询 F 公司年度报告的截面数据，了解公司高层管理持有股份与 公司绩效的关系情况，对台资上市公司高层管理持有股份与公司绩效的关系情况 进行实证分析，通过高管股权激励机制在台资上市公司的运用情况进行研究分 析，来探析台资上市公司高管股权激励机制规律。全文的研究内容如下： (1)通过对现有文献的查阅，从理论上分析股权激励机制对现代企业，尤其对上市公司高管管理的有效性和必要性。(2)针对台资企业 F 公司实际案例进行研究，分析该企业针对大陆高管的股 权激励政策实施及效果，进而分析台资企业股权激励政策实施中存在的问题。（3）采用实证分析法，以 F 公司为案例，深入研究台资上市公司股权激励 机制与公司效绩之间的关系，从而为台资上市公司改善公司经营绩效提供参考。关键词：上市公司；人事管理；股权激励机制；高管管理IAbstractThe personnel management of enterprises has a very important significance to the development of enterprises.
