第四章 加工贸易合同 §1 加工贸易概述(Processing Trade ) 一、加工贸易的含义 加工贸易是外国厂商提供原材料、零部件、元器件、包装物料等，由我方或承揽加工方按照外商的要求进行加工装配，成品交由外商销售而我方收取加工费的一种贸易方式。 加工贸易的主要形式: 来料加工 (Processing with Supplied Materials） 来样加工 ( Processing according to Supplied Drawings and Samples） 来件装配 （Assembling with Supplied Parts） *进料加工 (Processing with imported materials) 来料加工与进料加工的比较 1、关系不同 2、收益不同 3、支付方式不同 有关料件、成品的重要条款 1．质量条款 2．关于料、件的供应条款 3．有关料、件的损耗 §2 加工贸易合同 加工贸易合同的写法 1、合同标的 2、关于成品的规定 3、关于原材料的供应条款 4、关于加工费及其支付的规定 5、关于原材料的消耗和残次品的规定 6、关于质量检测条款 7、关于技术资料和技术服务 8、运输和保险 9、商标与专利 10、其他条款 4．(1) The main parts, consumption articles and components required for assembling shall be sent in time to Guangzhou by Party A and if there is any shortage of, or damage to these parts and components, Party A shall be responsible for supplying replacements． (2) Party A shall pay Party B by opening an irrevocable L/C covering the full amount of assembling charges and costs of parts, components and consumption articles purchased in Guangzhou by Party B, one month before the shipment of the finished products concerned． (3) Party B shall complete the manufacturing of all transistor radios and effect shipment within the time mutually agreed unless some unforeseen circumstances beyond control have occurred． 5．The Damage Rate of Parts and Components： The damage rate of parts and components in assembling is 3%, and such a rate of loss of parts and components shall be supplied free by Party A． In case the damage rate exceeds 3%, Party B shall provide at its own expense for the excessive damage to parts and components needed for assembling． 7．Technical Service： Party A agrees to dispatch technicians to Guangzhou to help training technicians of Party B at the request of the latter at any time and allows the said technicians to remain with Party B for inspection of finished products．In such a case，Party B agrees to pay monthly salary RMB ￥500 for each person．All other expenses（including round trip tickets）shall be born
