AbstractTheSmallandMediumEnterpriseBroadestablishedinMayof2004,whichprovidesfinancingchannelonlyforSMEswithhighgrowth.MostofthelistedcompaniesontheSMEBoardareprivateenterpriseswithImperfectcompanygovernancestructure.What’smore,becauseofsmallsize,thestockpriceofthelistedcompaniesontheSMEBoardarelikelymanipulated.Tobedirectedagainstitsinherentdrawback,TheShenzhenStockExchangepromulgatedseriesofregulations,improvingthequalityofaccountinginformationofthelistedcompaniesontheSMEBoard.WhetherthespecialregulationsoftheSMEBoardcancausethedifferencebetweentheSMEBoardmarketandthemainboardmarketwhichisunderthesamelawenvironmentastheSMEBoard,whichcausemyiinterest.AccordingtothequestionIjustmentioned,Iputforwardtwohypotheses.TheonewasthattheSMEBoardmarkethadlowerdegreeofearningsmanagementthanthemainboardmarketwhencontrollingotherfactors.TheotherwasthatearningsmanagementoftheSMEBoarddependedmoreonownershipconcentrationdegree,ownershipbalancedegreeandtheproportionofchairmanactingasmanager.ThispaperchoosedprivateenterprisesinthemainboardmarketwhichwereinthesameindustryandhadapproximativeassetsasenterprisesinSMEBoard.Thenwegot70sampleseachforeveryboard.Afterwechooseddatafrom2008to2010,wegot420samplesinall.WeusedthemodifiedJonesmodeltocalculatediscretionaryaccruals,theabsolutevalueofwhichwasonbehalfofvariableofearningsmanagement.Thenwebuildedmultipleregressionmodel.Theconclusionisasfollows:1)TheSMEBoardmarkethaslowerdegreeofearningsmanagementthanthemainboardmarketwhencontrollingotherfactors.2)EarningsmanagementoftheSMEBoarddependsmoreonownershipconcentrationdegreeandownershipbalancedegree.Theconclusionshowsthatstrictregulationscanlimitearningsmanagement.FinallyIhopetheGEMboardmarketcanlearnfromthisconclusion.Keywords:Thedifferenceoflistedboard；Earningsmanagement；Mainboard；Smallmediumenterpriseboard；Regulation目录第1章绪论..................................................................................................................11.1研究背景与意义...............................................
