Dissertation for the Master Management Empirical Study on Ownership Structure Affecting Dividend Policy of Home Appliance Listing Corporation in China Liu Ning （1151002） Supervisor: Lu Li Major: Business Management Date of Oral Defense: June 7，2014 Date of Degree Conferred: June，2014 摘要 摘要 摘 要 股利政策是公司利润分配的核心，也是公司融资、投资决策的逻辑延续，不仅关系着 股东、债权人的利益，同时也关系着公司的长期发展，合理的股利分配政策对上市公司的 发展具有非常重要的意义。股利分配本质上是公司不同利益相关者彼此博弈的结果，而股 权结构决定着公司控制权的分布，其在公司治理过程中处于基础性地位，对公司内部的利 益分配产生直接的影响，因而有必要将股权结构与股利政策结合起来进行研究。 在我国这样一个行业之间差异性非常明显的市场中，对股利分配政策的研究不仅要注 重研究整体，还应该注重行业性研究，否则会屏蔽行业股利政策的特殊性。之前研究发现， 股利分配政策具有行业特征，不同行业之间股利政策的影响因素是不同的。本论文利用家 电行业的数据，分析了我国家电上市公司股权结构对股利政策的影响，选择该行业的原因 是目前我国家电行业发展迅速，在国民经济中的作用越来越大。 因而，本文在对股利分配政策的相关内容及理论介绍基础上，对我国家电行业上市公 司的股权结构及股利分配现状进行分析，指出该行业存在的一些问题，同时对影响家电行 业上市公司现金股利政策的内外部因素及股权结构因素进行分析，进而通过构建 Logit 二 元回归和 Tobit 回归模型来实证分析反映股权结构的股东性质、股权集中度、股权制衡度 对现金股利分配意愿和分配力度的影响程度，最后提出提高中小股东素质、加强对大股东 行为的监督和约束、大力发展机构投资者、保持持续稳定的股利政策等对策建议。本文研 究的目的是一方面希望可以为家电行业上市公司制定合理的股利分配政策提供一定的参 考，促使上市公司进行理性分配以保护投资者利益，从而树立良好的公司形象；另一方面 可以使广大投资者对家电行业上市公司的财务状况和经营成果有进一步的了解，促使其进 行理性投资。 关键词：股权结构；股利政策；家电行业；实证研究 I Ab Abstract Abstract Dividend policy is the core of the company’s profit distribution, but also a logical continuation of corporate financing, investment decision .It is not only related to the shareholder, the creditors interests, but also related to the future development of the company.
