现金股利政策对上市公司企业价值的影响效应研究 现金股利政策对上市公司企业价值的影响效应研究 南京航空航天大学硕士学位论文 南京航空航天大学硕士学位论文 I I II II 摘要 自从米勒和莫迪格莱尼提出了股利无关论以后四十多年里,公司股利政策一直是财务学 研究的一个热点。为破解股利之谜，学者们提出了许多解释公司支付现金股利原因的理论， 其中主要包括信号传递理论与代理理论。然而时至今日，股利政策问题仍是一个“谜”。正 是为了破解这一谜题，本文以上市公司最近五年财务数据为蓝本，针对中国特定环境下的企 业价值与现金股利特征进行了分析，并对现金股利对企业价值的影响效应进行了研究，试图 为上市公司的现金股利发放决策与监管部门的监管措施提供理论参考。 本文首先对我国上市公司的现金股利政策与企业价值进行了描述性分析，接着通过实证 研究来探讨前者对后者的影响效应。本文从现金股利支付率和每股现金股利以及现金股利支 付的稳定性两个角度来对前者对后者的影响效应进行了实证研究，结果显示，股权结构高度 分散时其并不支持经典的代理成本理论。进一步通过对样本数据中第一大股东产权性质分类 并进行实证分析，结果表明，第一大股东产权性质为国家类股东时，现金股利政策对企业价 值的影响效应适用于代理成本理论；而第一大股东产权性质为法人类股东时，现金股利政策 对企业价值的影响效应在 2005-2006 年适用于利益侵占理论，而在 2007-2009 年则适用于代 理成本理论。而从现金股利支付的稳定性角度进行研究的实证结果表明，企业价值与递增的 每股现金股利和递减的每股现金股利负相关，而与稳定的每股现金股利呈正相关关系。总体 说来，本文的研究结论无论对于公司决策还是监管措施均有一定的指导意义。 关键词：现金股利政策，企业价值，代理成本理论，利益侵占理论，连续性 Abstract Since the dividend irrelevance theory was put forward by Miller and Modigliani，corporate dividend policies have been subjected to intensive theoretical and empirical investigation for over forty years. Scholars brought forward theories to explain corporate dividend policy. Among them signaling theory and agency theory are the major. To solve the problem, mainly using empirical research，this paper analyzes the relation between policy and enterprise’s value of our country’s listed companies of recent five years. All the research intended to provide theoretical reference for the corporate decisions and supervision. First，date of the listed companies in China were analyzed. Then，the method of empirical research were used to study the relevance of the both. The empirical research was carried out from the angle of cash dividend rate and per share cash dividend and the angle of cash dividend stability. In conclusion ， the result is not consistent with the classical verdict under the circumstance of highly dispersing shareholding structure. Then，the author classifies the samples according to the shareholding attribute. When it comes to the condition of state shareholders，the relationship conforms
