Research on legal person capital system of ownership Abstract Joint stock system occupies the dominant position as the organizing form of the modern capitalism enterprise. After World War II joint-stock companys shareholder morphogenesis change, namely from the pattern initial individual and family directly owned stocks to the pattern the legal person massively owns stocks. The personal share capital system of ownership no longer was the fundamental capitalism joint stock system mode, and the legal person capital shareholder has become the symbol of new change of the system of ownership in the developed countries. According to the difference of the legal person shareholder shape, the present legal person capital system of ownership in capitalist countries can be divided into the stock system of the industry and commerce legal person in Japan who own stocks mutually as the main body, along with individual directly owning stocks as well as the organization owning stocks and the stock system in United states in which many kinds of organizations own stocks altogether and the individual directly owns stocks. This article through research on the implication and the pattern, the evolution advancement, and the reasons of forming as well as the nature analysis of legal person capital system of ownership in postwar west developed capitalist countries, suggests that the essence of the legal person capitalism is one kind of senior shape of private ownership and has the essential difference from the socialist system of ownership. Therefore studying reasonable ingredient of legal person capital system of ownership of postwar west developed capitalist countries can deepen the China state-owned enterprise reform, establish the modern enterprise system, and provide some beneficial enlightenment for improving the company management structure.
