The system began in the United States,the law practice of corporate in the United States have created a huge socio-economic value, in the beginning of this century has been introduced by Chinese practice sector,and first attempt in the case of Qingdao Beer corporation Changing equity.Unfortunately,due to the lack of systematic theoretical research and institutional support, and it has been a great constraints for using and promotion in our country.This paper aims to examine and exploration the system of the Voting Trust, combined and try to provide some ideas for the localize theory and practice.Full-text is divided into three chapters:The first chapter is the theoretical foundation of the full text,expounds the definition of voting trust,legal attributes,the history,the system’s functions and referential significance to our country.Chapter II described the current situation of the system in theory and practice in China and existing problems.The theory struggle of the system in our country mainly embodied in the replace of the voting trust system with similar systems and the struggle between the object of the trust vote. The obstacles of the system in Chinas practice mainly reflected in the lack of legal provisions, the focus of equity structure, trust industry is not standardized and so on.Chapter III described the exploration and ideas for the establishment of voting trust legal system in China. This chapter is divided into two parts, elaborated on the macro achieve path of Chinas voting trust system and the specific legislative proposals for establishment of voting trust legal system in China, try to provide some ideas for the localize theory and practice of the voting trust system.
