II II Abstract Enterprise group is constituted by many single enterprises with a strong large-scale enterprise as the core, the property rights as a link, and the products, technologies and economic contract as the basis, forming a multi-level structure of the enterprise group by linking multiple enterprises and institutions. Because of that, the financial governance of the enterprise group will be more complex than the general enterprises for involving a number of financial management bodies, and the significance of its existence lies in the scale advantages of enterprise group and the convenience of financing, which can save transaction costs, improve core competitiveness, and enhance economic efficiency. Especially in the current downturn of global economic, Chinas party and government attach great importance to the establishment and development of enterprise groups, so we need to foster strong and competitive large enterprises and enterprise groups, and play advantages of capital operating, technological innovation, marketing development and other areas of these enterprises, making them become the pillar of the national economy and the main force to participate in international competition. To achieve the above purpose, enterprise group must carry out effective internal financial governance, the key of which is to build a group of financial institutions through the rational allocation of property rights approach, and coordinate the financial relationship between all the stakeholders. In the long run, enterprise group should seek to the state of property allocation to maximize the overall effectiveness, which relies mainly on cooperation game between the various interest bodies, and giving full play the initiative of the various stakeholders, so that it will realize the whole enterprise group’s situation by building on strengths, proper, and harmonious.
