l l 分类号： 密级： ＵＤＣ： 编号： 管理学硕士学位论文 我国私募基金组织结构研究 硕士研究生： 指导 教师： 研究员 学科、专业：管理科学与工程 学位论文主审人： 教授 哈尔滨工程大学 l l 摘 要 在我国证券市场和产业市场中，私募基金已经逐渐崛起，并占据大部分份额。在私募基金日新月异的变革中，私募基金组织结构成为制约私募基金发展的重要因素。本文以我国合法私募基金组织结构为研究对象。在介绍了我国私募基金概况、运营主体、组织形式和主要风险的基础上，以我国存在的私募基金实例作为分析对象，通过对比美国同类公司，实证分析了我国私募基金组织结构现存问题；并利用博弈论从理论上论证了解决我国私募基金治理结构的合理性。最后，结合私募基金经营主体的决策流程，设计出保证投资收益最大化的单一投资渠道私募基金内部组织结构及相关制度。 本文的研究成果，对合法私募基金完善组织结构具有重要参考价值；对我国广大尚未走入正轨的中小型私募基金及早完成由依赖个人到依托成熟组织结构的转变具有重要现实意义。 关键词：私募基金，组织结构，博弈论 Abstract In Chinas securities market and industry market, private placement funds has been gradually rising, and the lions share. Rapid changes in the private placement fund, the organization structure of private placement fund to become a major constraining factor in the development of private placement fund. In this paper, the organization structure of Chinas lawful private placement fund is for the study. Bass on introducing the overview of Chinas private placement fund, the main operating body, forms of organization and the major risks of Chinas private placement fund. Consider private placement fund of existence as an analysis object instance, by comparing the United States of similar companies, empirical analysis existing problems in the organization structure of Chinas private placement fund. And using game theory proves the existence of Chinas lawful private placement fund structure of the main practical significance. Finally, the combination of private placement fund management entities in decision-making process to design a single private placement investment channels for the organization structure and related systems. This study results not only has important practical significance to improve the organization structure of the legitimate private placement fund, but also has important reference value for that not yet entered on the right track for the vast number of small and medium sized private placement f
