内容提要在全球经济金融一体化、金融深化和金融自由化的大趋势下，随着市场竞争 内容提要 在全球经济金融一体化、金融深化和金融自由化的大趋势下，随着市场竞争 的不断加剧，金融业经营模式发生了很大变化，不同金融机构的界限逐渐模糊， 金融功能逐渐趋于融合。金融控股公司制度作为金融业经营模式的一种，成为现 代很多国家金融业发展的选择。进入21世纪，完善金融体制已经成为我国经济 发展的必然要求。金融控股公司作为一种分业到混业的一种过渡模式受到关注。 本文从金融业经营模式的制度变迁入题，逐层深入地对金融控股公司制度及 在我国的发展情况进行了剖析。首先对金融业经营模式的概念及特点进行了介 绍，并对包括美、英、曰、德等国家在内的金融业经营模式的演变情况进行了线 条式的梳理，得出了影响金融业经营模式制度变迁的—些体制性因素。接下来对 我国的金融业演变的路径进行了回顾，得出结论：金融控股公司制度是现阶段我 国金融业经营模式的必然选择。 在对金融控股公司制度进行分析时，采取了由一般到特殊的分析方式。首先 对金融控股公司被了一般性的制度分析，从公司治理结构、集团组织架构、运营 管理、风险及监管等多角度进行了深入的剖析。继而引入对金融控股公司制度在 我国的情况的探讨，先对我国金融控股公司发展的现状进行了陈述，发现金融控 股公司制度在我国存在的一些现实性问题，并从体制的高度对立法、监管、风险 控制等方面提出了解决问题的方法。 关键词： 金融控股公司 金融监管 金融风险 发展 AbstractWjtll Abstract Wjtll the intensification of market competition．the operative mode of the finance industry changes lot in the background of globalization of economy and finance， deepens and liberalization of finance．The boundary between kinds of financial institutions iS coming to anolear and the functions of financial institutions are coming to unanimous．As nil operative mode，financial holding company(FHC)has become to the realistic choice of many countries．When comes to 21 century,to pemct the financial system has become necessary in the development ofeconomy in our country．FHC is attracting as a transition from segregated to mixed operative mode． This paper analyses the FHC and its development in China step by step from the angle of changes of financial operative mode．Firstly,we introduce the concept and characteristic of financial operative mode and comb the evolution of financial operative mode of America,England，Japan,Germany,etc．Then we find some systematic factors that affect the evolution of financial operative mode．Secondly we analyze the evaluative process of financial industry in China．And we find that FHC is most practical choice offinancial operative mode in our country． We adopt the general to particular approach in the analysis of financial holding company system．Firstly we analyze the system in a general way in ch
