内容提要 内容提要 金融控股公司的监管问题一直是理论和实务界的重大问题。随着全球余融自 由化和一体化趋势的不断深入，越来越多的国家放弃了原先的金融分业管制政 策，金融控股公司一时间风起云涌。但是，金融控股公司仍存在许多难以解决的 问题，诸如如何进行金融控段公司的相关立法，监管机构应采取哪些监管策略， 监管体制应作哪些调整或变革等等，这些问题不解决，不仅会制约金融控股公司 的发展步伐，而且可能使风险因素扩张，造成金融危机。本文从实证角度出发， 主要关注了以下一些重要问题： 1、金融控股公司的混业经营促使其肆无忌惮地从事内幕交易，从而损害了投资 者的利益，危及金融安全。 2、金融控股公司组织模式所产生风险扩张的法律监管。金融控股公司组织模式 容易使金融控股公司凭借其资金、技术、信息、管理经验等方面的优势展开舞弊 活动或冒险经营，产生风险扩张的效果。因此，监管当局需采取一系列法律监 管举措以扼制金融控股公司组织模式所可能产生的风险扩张问题。 3、多元化金融控股公司组织模式的国际监管规则。本文对金融控股公司组织模 式监管的核心问题即资本充足性监管方式、对管理层和股东的适宜性要求、监管 者信息分享和协调制度展开深入探讨。 4、我国金融控股公司监管的模式选择。从市场主体、市场发育程度、法律规定 和政策面进行分析，我国的金融市场发育程度和法律政策环境已基本满足混业经 营的要求。 5、借鉴国际相关立法经验和监管规则，加强和完善我国对新兴金融控股公司的 立法及监管。 本文运用实证分析、历史分析、比较研究等方法对上述问题进行了深入研究， 在总结世界各国金融控股公司立法经验、监管体制和监管方法之后，结合中国的 国情，提出了我国金融控股公司的立法建议，并提出了完善我国金融控股公司的 监管模式和监管策略。 本课题研究的意义在于通过比较研究与借鉴，总结出现行法律框架下我国金 融控股公司立法及监管模式建立的合理途径和可行模式，并对新型会融控股公司 组织模式的监管体制和监管策略改革提出了若干有益的建议。 关键词：金融监管 金融控股公司 防火墙 ABSTRACTThe ABSTRACT The supervision of financial holding company has been discussed for decades and has not gotten a common view yet．Nowadays financial holding company have been liberated and globalized，creating the SO·called financial holding company．The rapid development of financial holding company is flushing the current regulatory regime of financial securities powers，which has led regulators to reconsider traditional approach to regulation and supervision and to develop more flexible approaches to supervise financial holding company。This paper aims to expound general rules and trends of the financial holding company，thus to provide beneficial experience for China to learn from．Five key issues discussed in this paper arc：(1)the demerits ofconflicts ofinterests and the patterns offinancial holding company,(2)the legal regulation of risks deriving from the mixture of different financial department， (3)the international supervision rules of financial holding company,(4)the feasibility and paRem of financial holding company in China，and(5)enhancing the supervision of Chinese financial homing companies in acco
