哈尔 哈尔滨工业大学管理学硕士学位论文 II II Abstract The corporation government has a lot of problems in our country，because of the restriction of property right structure and defect of the market environment. Though the quantity of the company is getting more and more, effective corporation government has not increased. This paper analyzed the characteristics about corporation government of construction company for the hot question about corporation government and governance performance. And drew lessons from the traditional research approach on corporation government, combined research on construction company and corporation government research together to find out the route of solving. The purpose is to pursue the effective and feasible method to promote the governance performance. This paper began with the analysis on basic theory of corporation government, analyzed the relation between corporation government and governance performance. It explained the existing problem of construction company and the reason. On this foundation, this paper summarized the internal and external factors influencing the governance performance. The internal factors include ownership structure, board structure and management structure. Though companys question comes from property right structure, not all depend on it. So governance performance is not totally decided by property right structure, capital market is unable to totally supervise agents behavior. And competitive environment, law and media can also influence governance performance. In this paper, the performance indexes include short-term financial indexes, growth indexes and long-term strategy indexes which are different from the traditional researches that just use short-term financial indexes. Then merged above indexes into the index composite of performance as the dependent variable of regression analysis by principal component analysis.
