AbstractAs Abstract As the current global economy is in a deep adjustment，the international financial market presents intensified turmoil，the domestic economy has increasing downward pressure and the companys operating conditions are more severe．Especially since the 1 8th CPC National Congress，the state has proposed that the market plays a decisive role in the allocation of resources，which requires state-owned enterprises to further enhance the operation and management level，as good risk management and control is the basic protection to carry out other services．The state-owned investment group is the investment and financing subject authorized by the government to operate state—owned capital and is the market carrier of the state-owned economic layout and structural adjustment；that how state．owned investment groups make scientific and rational investment decisions in the economic environment full of challenges and opportunities and play a good guide role in investment to promote adjustment of industfial structure and rational distribution of the national economy is related to the survival and development of investment companies and it is a very important issue to promote the optimal allocation of state-owned capital and achieve maintenance and appreciation of values of state—owned assets． On the basis of theory review of relevant domestic and foreign literature．in the paper, the research method of case analysis was used to study the status of investment risk management of Z Group as the research object．By reference to the”Enterprise Risk Management-Integrated Framework”and”Comprehensive Risk Management Guidelines for Central Enterprises”issued by the United States COSO Commission，problems currently existing in the investment risk control system of Z Group Was systematically analyzed； Z-Group’S investment risk control system was optimized and the organizational structure of the investment risk management was adjusted；the processes in the investment system was re-sort
