摘 摘 要 PAGE PAGE 2 本文由四部分组成： 第一部分是对基金会的法律概念进行分析论证。首先从国外和国内两 个方面对基金会的法律概念进行分析，其次对基金会的基本特征进行研究。 第二部分是对规制我国基金会投资行为的理论基础与现实需要进行论 证。通过对基金会产权结构与内部治理结构的特殊性进行分析，对基金会 近年来投资状况数据的分析，以及我国法律对基金会投资行为的规定的梳 理，得出应当对基金会投资行为进行规制的结论，同时初步分析了基金会 投资状况不佳的原因。 第三部分是对规制我国基金会投资行为提出的具体建议。这一部分包 括进行法律规制的原则和进行法律规制的具体法律规则两个方面。其中， 进行法律规制的原则包括国家监督与社会监督相结合的原则以及独立运作 的原则。对基金会具体的法律规制是从法律规定和基金会章程两个方面来 探讨，最后对我国基金会的监督制度提出了一些建议。 关键词：基金会，投资行为，法律规制 ABSTRACT This paper deals with the legal regulation of foundation investment, and the research on other aspects are serving for this topic: The research on its concept and characteristic is to make the concept of pubic foundation clearer; the particularity of foundation’s property external structure and internal governance structure determines that the investment of foundation should be regulated by laws; the analysis on the current situation of foundation investment activities is the basis of research on the legal regulation of foundation investment. And the legal regulation of foundation investment must be composed of property right structure and internal governance structure. There are many researches on this field. However, those researches mainly focus on the field of social sciences. And also, the researches before mainly focus on the entire problem of the legal system of foundation, but neglected the investment of foundation, which is related of the policy changes of foundation investment on our country. Facing the weak economy of the foundation in China, little investment in the operation, the low investment income, in my opinion, the problem focus on the imperfection in the external structure and internal governance structure mechanism of foundation. As the change of government functions and the development of the public foundation, public foundation has become the principal part of the public welfare, that’s the experience of the developed countries, and it’s also the sign of mature period of public foundation.
