摘要本文研究的主要问题是跨国并购对中国企业的效应问题，分别从跨国著购对 摘要 本文研究的主要问题是跨国并购对中国企业的效应问题，分别从跨国著购对 我国企业的竞争、资本形成、产业结构、技术外溢以及贸易和就业几个方面进行 考察，期望从对以上各方面的分析中得出跨国并购对我国企业的一般性影响。 文章的写作思路： 由于国际和国内对跨国并购的定义尚无统一认识，因此在本文的第一章首先 对企业并购和跨国并购做出了较为准确的界定，并对跨国并购的类型、方式和历 史背景作了一个简要的回顾。在文章豹第二部分，回顾了作为跨国并购理论基石 的企业并购理论和直接投资理论，随后在第三章又引出了前人对跨国并购所引起 的效应问题而进行的分析，但这些理论大多以发达国家作为研究对象，其理论对 我国企业有借鉴作用但又不完全符合我国国情，因此在本文的第四部分则结合了 我国的实际情况对跨国并购对我国企业的影响作了较为深入地分析，并在文章的 第五部分为我国企业提供一些应对跨国并购的参考意见。 本文通过对数据的分析得出初步结论：跨国并购对我国企业的效应有正有 负，因此我国企业应该更好的利用跨国并购所引起的正效应，规避负效应，这样 才能不断增强竞争力，在世界市场上占有～席之地。 关键词：经济全球化 跨国并购 经济效应 AbstractIn Abstract In this thesis，we saw about the aspect of corporate competition，capital， industrial structure，technological spillover,trade and employment to find out the effect ofthe cross-border MAto Chinese corporate． h the first part of this thesis，we gave the definition of MA and cross_border M＆A because of the difference between the Economic Academe．And We also reviewed the types，mode and history of cross-border MA．In the second part，we reviewed the two parts which is very important to the theory of cross-border MA， one is the theory of corporate MA，the other is FDI theory．h1 the third part，we gave the analysis ofthe effect which cross-border MA brought to the participators．In the fourth part，we gave out the effect wlfich CROSS—border MA gave China with our condition．And at last，we gave some instructions to Chinese corporate to make them survive from the crucial competition in International market． According to the data we found out that the effect that CROSS—border brought to our corporate has two sides-positive and negative．So we should u8e its positive side reason曲le to make OUr own companies to win seat in the International market． Key words：Globalization Cross-border MA Economic effect 南开大学学位论文电子版授权使用协议(请将此协议书装订于论文首页) 南开大学学位论文电子版授权使用协议 (请将此协议书装订于论文首页) 论文《跨国公司并购我国企业的经济效应分析》系本人在南开大学工作和学习 期间创作完成的作品，并已通过论文答辩。 本人系本作品的唯一作者(第一作者)， 即著作权人。现本人同意将本作品收 录于“南开大学博硕士学位论文全文数据库”。本人承诺：已提交的学位论文电子 版与印刷版论文的内容～致，如因不同而引起学术声誉上的损失由本人自负。
