哈尔滨工程大学硕士学位论文摘 哈尔滨工程大学硕士学位论文 摘 要 2004年12月11日，中国入世三周年。目前我国应加快外资立法工作， 在遵循TRIMs协议对其成员圄的要求的前提下，翻定富有科学性和前瞻性的 外资法律条文，构建最终内外资一体化的法律体系，合理规避删s协议禁 令，寻求可行的替换措施，以维护本国经济产业的安全为耳的，使得我国经 济能够稳健地融入全球经济一体化。 文章从分析础s协议本身入手，对中国外资立法的现状及不足进行了 研究，结合对TRills协议的分析，对中国外资立法的重构提出了一定的设想。 我国在制定外资法时，不能仅从投资角度出发，而应该将投资与贸易结合起 来考虑，必须认识到投资立法可能对贸易产生的影响，仅对投资有利的措施， 并不能全面满足资本输出国的要求，因为这些措施有可能被认为对贸易有扭 曲作用。市场经济体制的建立、国际投资法律规范的新发展使我国外资立法 面临着严峻的挑战，改革和完善我国外资法已是当务之急。我们应当紧紧围 绕着国际投资领域己达成共识的原则和制度，结合我国国情，针对现行外资 法进行必要的修改和调整，使之更适应新形势发展的需要。 关键词：TRD以s协议；外资法；WTO；国际投资法；国际直接投资 AbstractOn Abstract On December 1 1，2004，China has already entered the WTO in the third anniversary．Our country should accelerate the legistration work of the foreign capitals at present,On the premise of following requisition for its member state of TRIMs agreement，make a scientific and perspective legal clause of forei印 capitals．Structure the legal system wim integrated foreign capitals finally,Evade TRIMs agxecrnent prohibition rationally,seek the feasible replacement measure． In order to maintain this country economic security of industry for the purpose， make the economy of Our country able to incorporate the economic integration global steadily and surely． The article starts with analysing agreement itself of TRIMs，the current situation and enough to study legislating to the Chinese foreign capitals， combining the analysis on TRIMs agreement．the ones that legislated had constructed again and proposed the imagination of SnlJng to the Chinese foreign capitals．Our country cant set out only from investing in the angle while making the law of foreign capitals，but should conbine investment and trade together to consider，must realize the possible influence to删e that investment legislates．it is only the favorable measure to investing in，Can not meet the request of the exporting country of the capital in an all-round way，because there is function of twisting on trade on these measures are thought probably．The setting—up of the market economic system，new dev
