国有企业产权制度改革的现状进行分析。通过分析，发现国有企业产 国有企业产权制度改革的现状进行分析。通过分析，发现国有企业产 权改革仍存在以下三方面的问题：一是国有企业产权委托代理机制仍 不完善。二是国有企业产权结构不合理，主要体现在股东大会、董事 会权力弱化和内部人控制现象严重这两方面。三是国有企业产权流动 仍不顺畅，产权市场化程度仍然较低。 本文第四章进一‘步探讨如何在实践中加强和完善国有企业产权 制度改革。重点从下三方面进行探讨：一是进一步深化产权改革，实 现“所有者到位”；二是实现国企产权多元化，防止“内部人控制”； 三是建市有效的国有产权巾|场交易机制，增强国有资本置换力。 关键词国有企业，产权改革，产权结构，委托代理 ABSTRACTThe ABSTRACT The reform of state—owned enterprises has undergone more than 20 years since 1 978，during this period，it experienced three reformation stages including the stage of“extending the right of enterprise independence”，the stage of“enterprise contract system”and the stage of “establish the modern enterprise system”．However,the low efficiency problem of state—owned enterprises can’t be solved due to ambiguity of property right．At present，a few breakthroughs have been achieved both in theory and practice，but there still exist many problems．This essay tries to probe how to reform the state—owned enterprises from the point of property right．The main points are as follows The first chapter of this essay is to develop Marx’S theory of lproperty right through drawing scientific contents from the theory of western enterprises’property right which reflect the general rules of modernized production and market—oriented economy while sticking to the standpoint of Marx’S theory of property right and to build up a theoretical foundation for the reform of property right of our state．owned enterprises The second chapter of this essay summarizes the deficiencies and drawbacks of the property right system of state—owned enterprise in our country systematically．The deficiencies are as follows：only to consider it is is important to ensure the implication of planned economy without being disturbed；only to carry out such manage patmrn that prevent the public assets from losing；to carry out such method that the functions of the government and enterprises mixed up，enterprises support all things．The deficiency mentioned above resulted in many drawbacks，
