ABSTRACT Transnational corporations often adopt the parent-subsidiary legal structure in their daily businesses．Those parent corporations often control their subsidiary corporations’management for their global purposes．But according to the law of the host country,the subsidiary corporation often has independent corporate personality．So it many conflicts between its independent personality and the facts of being controlled．So the foreign parent corporation’s actions infract the advantages of the minority partners the creditors of the subsidiary corporation，it often Can evade liabilities by dint of the subsidiary corporation’S independent personality and limited liabilitv．So finding method to solve the problem of the parent corporations liability becomes important task for those scholars who studying International Economic Law． This dissertation bases the previous studies in existence，analyzes the basic relationship between the transnational parent corporations and their subsidiary corporations．It introduces those theories the principles of the transnational parent corporations’liabilities，the correlative legislation and iudicial practice in the world．Then it particularly analyzes new way to solve this problem with domestic law by taking China’S actualities an example．Finally,the author also shows his viewpoints to international cooperation about this issue． This dissertation consists of five chapters．in total 39 thousand WOrds approximately． KEY WORDS：Transnational Corporation，Parent Corporation， Subsidiary Corporation，Liability 申央民族大学硕士学位论文 申央民族大学硕士学位论文 跨国公司母公司对其子公司债务责任的法律问题研究 引言 在经济全球化的背景下，作为其微观载体的跨国公司已经成为了全球经济活 动中举足轻重的重要组成部分，在过去的十年里，跨国公司的国外分支机构的全 球产出和销售额的增长速度已经超过世界国内生产总值和世界出口总值的增长 速度。有学者认为，跨国公司的扩展毫无疑问地可与蒸汽机、电力汽车的发明相 媲美，已经成为现代经济史上的重大事件。 至2003年，全球跨国公司总数已经达6．5万家，共有约87万家外国分公司、 子公司等分支机构。跨国公司通过在不同国家设立子公司、分公司等公司实体的 形式，实施全球性战略，在母公司的集中控制与管理下形成一个以跨国公司整体 利益为基本目标的经济整体。而自从上个世纪60年代以来，在海外设立子公司 就已经成为了跨国公司对外直接投资的主要形式。这种母子公司的模式和组织结 构也有利于实现跨国公司以集团内部交易代替外部市场交易。以最
