Under the condition of housing shortage, the local governments need to consider how to ensure the fund to build the large number of public rental housing. The entrance of the Real Estate Investment Trusts (REITs) as an excellent new financial instruments into our country is imperative. If REITs as an investment products with the feature that combines real estate and financial industry, wants to formally enter into the capital market in China, we must establish a sound legal system, to ensure and maintain the fairness, open and transparence of the entire capital and financial markets, to advance the healthy and rational development of the real estate investment trust industry. In this paper, the author analyzes the development and experience of extraterritorial REITs on the basis of introducing the concepts and types of REITs, again on the basis of this analysis, discusses our model and process design for implementation of REITs on public rental housing, and the final discussion is on how to establish the Legal System for public rental investment trusts. The body of the paper is a total of four chapters: Chapter I,＂the necessity and constraints of establishing public rental system＂. This chapter first discusses the urgency of the indemnificatory housing construction in China, and through the analysis of affordable housing and low-rent housing, highlighting the superiority and necessity of the construction of public rental housing. Then by analysizing policy support and the constraints of the construction of public rental housing, proposed to solve the problem of the funding sources of public rental housing by intrducing the real estate investmen
