The magnificence of their efficiency and favorable development to establishment of the market economy and development of the reform and opening to the outside world of China speaks itself. In the modern enterprises，the proprietors have become the scarcest resource，and their behaviors have become the key of the sustainable，fast and healthy development of the enterprise．In these years，the reform practice of state-owned enterprises proves that the proprietor drive mechanism developed a lot and its functions became effective．Due to the distemperedness of the restricting mechanism，some of the proprietors lost the discipline and fell into corruption．This causes a great deal of lose of the state-owned assets．It turns to be important to study the discipline for the proprietors． This text introduced the
