公司治理论文:试论公司内部治理结构中的权力制衡 【中文摘要】公司是当今世界各国经济运行的支柱、经济增长的引擎、经济势力的象征与经济安全的保障,其成败兴衰已事关各国社会经济发展与进步。20世纪70年代以来，虽知知识经济的日趋崛起和全球治理运动的蓬勃发展,公司治理运动异军突起,在传统经济条件和价值观念基础上成长起来的公司法律制度不断受到挑战。为了应对这场全球范围的公司治理浪潮,纠正公司治理结构的权力失衡，各国纷纷对公司法律制度进行改革。本文拟结合历史与现实,在批判与继承的基础上,提出了通过对监事会进行改造，引入社会力量的参与来纠正公司治理结构失衡状况的理论构想,从理念、原则、具体措施等几个方面提出了自己的一些观点,以期对公司治理结构的完善有所裨益。第一,更新理念,以社会利益为本体，兼顾各方利益。第二,重树原则,激励与制约相结合。第三,注重监视会的构建,以纠正公司治理结构的权力失衡。 【英文摘要】Nowadays， Corporａｔion iｓ the　baｃkboｎe　ｏf world　ｅconomiｃ opeｒａtions, the ｅnginｅ of eｃonoｍｉｃ　grｏwth， a sｙmbol oｆ　ecｏｎoｍic ｐoweｒ anｄ　ｅconomic　ｓecurity prｏtecｔiｏｎ,　and iｔs ｓｕｃceｓs oｒ failure has bｅen decｉdｅｄ ｔo the sｏｃiａl　anｄ ｅconｏmic ｄｅvelopment and proｇress.
