中国直销法律规制发展研究 本文运用比较分析的方法，对宜销立法较为成熟的国家和地区的相关法律制 度以及我国初步建立的直销法律制度进行了较为深入和系统的比较研究，对如何 完善我国直销法律制度的问题进行了探讨。直销监管的重点和难点在于，如何防 止不法分子以“直俏”名义进行金字塔式欺诈销售。全文围绕着这一核心问题展 开。 第一章着重对“直销”进行界定，并对与直销相关的若干概念进行了辨析， 消除对直销尤其是多层次直销的种种误解，厘清作为正当俏售形式的“宜销”与 被称为“经济邪教”的金字塔式欺诈销售Z间的界限。 第二章是对美、韩、马來西亚及我国的直销立法的比较研究，分析了立法背 景等对直销立法态度乃至制度设计的影响，并在对各国具体规定、立法技巧、监 管机构等方面的优劣比较中逐步揭示了国内立法对多层次直销加以限制的原因 及立法者的意图。 第三章冋顾了我国直销立法的进程，综合分析我国貞销立法的现状及存在问 题，论述直销立法应秉頂的原则与理念，并在借鉴各国立法经验的基础上，对如 何进一步完善反金字塔式欺诈的法律制度提出了若干建议。 关键词：宜销，多层次直销，金字塔销售 Abstract This dissertation investigates into the legal systems of direct-selling newly created in our co untry and those developed maturely in America, Korea and Malaysia , using the methods of compare and an a lysis. It also discusseshow to perfect the Chinese legal system of direct-selling. The emphasis a nd difficulty of supervisi on is how to preve nt illegal pyramid fraud in the name of direct-selling. The dissertation spread out surro unding this crucial proble m. Chapter 1 focuses on the definition of direct-selling, at the same time tries to d iff e re ntiate an an a lyze couplesof correlative con cepts. Chapter 2 comparesand analysesthe legislation of direct-selling in America, Korea , Malaysia and China , in terms of legislative backgro und, legislative attitude, con crete provisi on, supervisory instituti on etc. It tries to reveal the reason why legislatorsof China restrict multi-level direct selling sternly. Chapter 3 Looks back to the legislative process of China and provide legislative suggestions.
