PAGE 14 PAGE 14 CISG根本违约制度的借鉴与启示 摘 要 现如今，随着经济全球化不断发展，各国经济活动逐渐深化，不同国家的人之间签订民事合同的民事法律活动时时发生，“CISG”（《联合国国际货物销售合同公约》下文统称CISG）作为约束和统一各个国家间的合同行为和纠纷的国际性法律文件，截止2015年12月29日，经过核准并参加该公约的共有84个国家，即意味着其中的法律条文及规范得到了全球绝大部分国家的认可，那么，“CISG”中的立法思想、立法技术、立法依据则必然有我国合同法值得借鉴和学习的地方。通过对“CISG”第二十五条即其对于合同的根本违约的规定作主要阐释以及与《合同法》中的相关规定作比较论证，探讨“CISG”在根本违约方面对我国合同法有何借鉴与启示，希望能使我国合同法在这一领域更加完善。 关键词：根本违约制度；联合国国际货物销售合同公约；中华人民共和国合同法 The Reference and Enlightenment of CISGs Total Breach of Contract Abstract Nowadays, in the context of the continuous development of economic globalization, in various countries, the economic activities are gradually deepening and civil legal activities between different countries are taking place from time to time, and CISG (United Nations Convention on Contracts for the International Sale of Goods) is used as an international legal document to regulate contractual acts and contractual disputes between countries. As of December 29, 2015, a total of 84 countries have been approved and participated in the Convention which means that the legal provisions and norms of the world have been recognized by the vast majority of countries, then, CISG in the legislative ideas, legislative technology, legislative basis is bound to have Chinas contract law worthy of reference and learning. Through the main interpretation of article 25 of CISG that is, the provisions of its fundamental breach of contract and the comparative argumentation of the relevant provisions in the Contract Law, this paper discusses how CISG can draw lessons and inspiration on our contract law in terms of fundamental breach, hoping that the contract law of our country can be more perfect in this field.
