PAGE PAGE 33 创业板上市公司董事会特征与公司成长性的关系研究 摘要 自2009年投入运作以来，创业板上市公司存在缺乏监督，治理结构不合理等诸多问题。探究董事会特征是否能有效保障创业板上市公司的高速或稳健成长，对于创业板市场的健康发展显得尤为迫切与重要。 本文在分析上市公司董事会特征及成长性的相关理论的基础上，结合创业板356家上市公司2011-2013年三年的相关数据，采用多元线性回归的方法，对创业板上市公司董事会特征与公司成长性的关系进行了研究。实证结果显示，董事会规模和独立董事比例与公司成长性之间不存在显著的相关关系，两职合一与公司成长性中投入规模呈显著负相关，董事薪酬与公司成长性中价值规模呈显著正相关，董事会议事频次与公司成长性中产出规模、盈利规模、价值规模呈显著正相关。最后，基于实证分析结论，从加强董事会建设的角度提出建议。 关键词：创业板 董事会 特征 成长性关系 ABSTRACT There are many problems in GEM listed companies such as lacking of supervision and its unreasonable governance structure since it was put into operation in 2009. Therefore, it’s important to explore whether board characteristics can effectively ensure rapid or steady growth of GEM listed company. This study analyzes the theoretical problems about board characteristics and growth. With the data of GEM companies from 2011 to 2013, this paper then?explores the relationship between board characteristics?of GEM listed companies and the growth of companies through?multiple linear regression methods. The empirical results show that there is no significant correlation between the?size of the board and the growth of the company, so does the proportion of independent directors. And CEO duality negatively relates to the scale of investment in companies’ growth while directors’ compensation positively relates to the scale of value in companies’ growth. Besides, it also finds a positive correlation between the times of board meeting and the scale of output, profits and value in companies’ growth. Based on these conclusions, this study put forward some suggestions about strengthening the construction of the board .
