摘要 不管是国内还是在国外,公司法中公司的决策通常使用资本多数决这一原则，虽然此原则利于公司的经营顺利，但是同时它也是以牺牲少部分的股东主张作为代价得到的。为能保护少部分股东权益,各国或地区采取了一系列法律，异议股东股份回购请求权因此诞生。指的是股东大会依靠“资本多数决”的原则就重大的事项表决裁定后，有不同的意见的少数股东享有要求公司根据合理且合理价款购买他的股份并推出公司的权利。在我国公司法中对持有异议的股东回购请求权的设立较简单，并且操作性不是很强，无法真正且有效地去保护少部分股东的权利。从这点出发，本文对异议股东股份回购请求权进行了理论的介绍以后，结合了国外成熟的立法经验，研究并分析了国内的异议股东股份回购请求权的立法，就如何去完备我国的持有异议的股东的股份回购请求权说明了几点建议。 关键词：股东；股份；持有异议的股东；股份回购请求权 ABSTRACT At present, in both international and domestic law, corporate decisions usually adopt the principle of capital majority, this principle is advantageous to the company runs smoothly, but it is undeniable that it is also the expense claim at the expense of minority shareholders. In order to protect the interests of minority shareholders, through a series of company law system countries and regions, including for dissent shareholders share buybacks, namely the company based on the principle of capital majority of the shareholders general meeting on important matters of the company to make a decision, the dissenting shareholders enjoy requires companies to buy back its shares in accordance with the fair and reasonable price, to withdraw from the companys rights. But in our country, the legislation of right to claim for dissent shareholders share buybacks formulation is relatively simple, interoperability is not strong, in the reality cant really effective to protect the interests of minority shareholders. In this paper, starting from this Angle, the shareholders share repurchase right after the theory expounded the connotation and denotation of claim, combining with the relevant legislation of foreign mature experience, the study analyzes the legislation regarding for dissent shareholders share buybacks, and presents how to perfect the advice of the right of claim for dissent shareholders share buybacks.
