RECITALS

A.Transferorhasdevelopedcertaintechnology(the“Technology”)anddesirestograntTransfereeanon-exclusivelicensetotheTechnologyforusein[Territory].

B.TransfereedesirestoobtainalicensetotheTechnologyforusein[Territory]underthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,TransferorandTransfereeagreeasfollows:

1.GrantofLicense.SubjecttothetermsandconditionsofthisAgreement,TransferorherebygrantsTransfereeanon-exclusive,non-transferablelicensetousetheTechnologyintheTerritoryforthepurposeof[Purpose].

2.ScopeofLicense.ThelicensegrantedhereinpermitsTransfereeto[Descriptionofpermitteduses].TransfereeshallnothavetherighttosublicenseortransferitsrightsunderthisAgreementwithoutthepriorwrittenconsentofTransferor.
