鉴于乙方到甲方进行业务联系涉及甲方商业秘密的有关事项，经双方友好协商订定下列条款共同遵守：
ThePartieswishtopursueapossiblebusinessrelationshipinconnectionwithwhichpartyahasdisclosedand/ormaydiscloseitsConfidentialInformation(asdefinedbelow)toPartyb.ThisAgreementisintendedtoallowthePartiestoconductbusinesswhileprotectingpartya’sConfidentialInformationonthetermsandconditionssetforthherein.
第一条本协议中商业秘密指甲方不为公众知悉，能为甲方带来经济利益，具有实用性并经甲方采取保密措施的技术信息和经营信息双方同意乙方保密义务包含上述内容及乙双方要求甲方提供的所有相关资料但不限于上述范围。
1、ConfidentialInformationasusedinthisAgreementshallmeanalltechnicalandbusinessinformationthathasbeendisclosedbypartya(Discloser)topartyb(Recipient)withclearlabelordesignationof“confidentialinformation,andisnon-publicandeconomicallybeneficialtopartya.ForpurposesofthisAgreement,theterm“ConfidentialInformation”shallalsoinclude,withoutlimitation,alldocumentspreparedbypartyatopartyb.
第二条乙方在办理委托事项时必须遵守甲方规定的任何成文或不成文的保密规章、制度，履行与其工作相应的保密职责。
甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度，采取任何必要、合理的措施，维护其于工作期间知悉或者持有的任何属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。
乙方承诺本次相关资料及报告仅限于在和甲方的商务合作中使用、披露。
2、 Duringtheperiodoftheconfidentiality,RecipientagreestocomplywithallConfidentialityRulesandRegulationsofDiscloser’s,writtenorunwritten,andalsoagreestomaintaintheConfidentialInformationreceivedfromDiscloserinconfidence.
RecipientshallimmediatelygivenoticetoDiscloserofanydeficiencyoruncertaintyofDiscloser’sConfidentialRulesandRegulationswhichhascomeintoRecipient’sknowledgeandagreetoassistDiscloserinremedyinganysuchdeficiencyoruncertaintywithdiscretionandhonestyinordertomaintaintheConfidentialInformationinconfidence,whetherfromDiscloserorfromathirdpartytowhichDiscloserhasdutyofconfidentiality.
