企业风险投资中的法律问题研究.doc

摘要：企业风险投资是一项投资活动。企业风险资本是股权资本。企业风险资本家将风险资本作为股权投资注入未上市的高增长公司并参与管理。目标公司可在到期后退出股票，并购或以其他形式的风险投资审计首次公开募股。从融资到投资，企业风险投资的高风险和高盈利能力已经拥有了完整的资金循环链。在现如今这个知识经济时代，企业风险投资正好迎合了这个时代的要求，并在社会经济发展中获得了举足轻重的地位，促进了中小型企业，特别是高新技术产业的发展。虽然我国的企业风险投资正在进行稳步发展，但我们仍然需要意识到，企业风险投资的实际操作中仍然存在许多不利于其发展的不良因素，缺乏相应的法律制度就是其中最为关键且无法回避的一点。我们必须清楚地意识到，健全的法律制度对于企业风险投资的长期、健康的发展的必要性。因此，我们要提高我国关于企业风险投资的立法水平，以完善风险投资立法的形式；其次，完善风险投资的退出机制，完善中国创业板市场，以确保风险投资顺利退出。

Abstract：Enterpriseventurecapitalisaninvestmentactivity.Venturecapitalisequityinvestment.Venturecapitalistsuseventurecapitalasequitytoinvestinandmanageunlistedhigh-growthcompanies.Thetargetcompanycanexitafterthestockmatures,mergewithotherformsofventurecapitalorauditthe.Fromfinancingtoinvestment,thehighriskandhighreturnofenterpriseventurecapitalformacompletecapitalcyclechain.Today,intheeraofknowledgeeconomy,enterpriseventurecapitalisinlinewiththerequirementsofthisera,inthesocialandeconomicdevelopmenthasachievedapivotalposition,promotingthedevelopmentofsmallandmedium-sizedenterprises,especiallyhigh-techindustry.Althoughourcountryenterpriseventurecapitalisdevelopingsteadily,butwestillneedtorealizethatintheactualoperationofenterpriseventurecapital,therearestillmanyunfavorablefactorsthatarenotconducivetothedevelopmentofenterprises.Wemustrealizeclearlythattomakeventurecapitaldevelophealthilyinthelongrun,wemustestablishasoundlegalsystem.Therefore,inordertoperfectourcountrysventurecapitallegislation,wemustimproveourcountrysventurecapitallegislationlevel.Secondly,weshouldimprovetheexitmechanismofventurecapitalandthegemmarkettoensurethesmoothexitofventurecapital..
