论我国让与担保制度的构建

摘要：随着21世纪经济全球化的不断发展，曾经一度退出担保江湖的让与担保制度，如今却在市场占据着重要地位。我国《物权法》规定的担保方式已难以适应当今社会经济发展的现实需求。让与担保能够弥补典型担保的不足，其优势表现为担保标的范围十分广泛、实行方法简便灵活等。民商事交易的日益频繁，该制度迅速成为民商事领域内一种重要的担保方式。因为让与担保制度在大陆法系国家的判例和学说中得到有效发展，故笔者想通过借鉴他国成功的经验，再结合具体国情，在构建过程中采纳担保权的法律构造理论、采取民事特别立法模式、借鉴美国的声明登记方式、明确效力设定方式、担保权人负担强制清算义务的构建方法以规避让与担保存在的公示方式、流质之嫌、通谋的虚假表示等不足，进而构建出具有中国特色的让与担保制度。

Abstract：Withthecontinuousdevelopmentofeconomicglobalizationinthe21stcentury,theconcessionandguaranteesystemoftheguaranteeriverandlakehavebeenwithdrawn.Becauseoftheincreasingfrequencyofcivilandcommercialtransactions,ithasquicklybecomeanimportantguaranteeinthefieldofcivilandcommercial.However,thelegalprincipleofrealrightstipulatedinthePropertyLawofourcountryhasbeendifficulttomeettheneedsofsocialandeconomicdevelopment,especiallyforthefinancingofsmallandmedium-sizedenterprises.Itisbeneficialtotheprosperityanddevelopmentofmarketeconomytomakeupfortheshortageoftypicalguarantee.Moreover,thejurisprudenceanddoctrinesofcivillawcountriessuchasGermany,Switzerland,JapanandChinasTaiwanregionhavebeeneffectivelydeveloped.Usingtheexperienceofothercountries,itisurgenttoconstructthesystemofconcessionandguaranteeinChina.
