PartyB：AKoreanbusinessentity,MotionPictureCo.,Ltd.（hereafterreferredtosimplyas：MP）

Throughfriendlynegotiations,bothpartiesreachedthefollowingagreementoncooperationintentinBeijing,PeoplesRepublicofChinaon,2002,onSTARCOMsoutrightpurchaseandintroductionofMPshighandnewtechnologyproducts,patentsandrelatedtechniquesofvideocompression,videotransmission,etc.,andonthetechnicalandcommercialoperationtobecarriedoutinChinaandotherregionsconcernedintheworld：

Article1:IntentandPurposeofCooperation：

1.STARCOMsoutrightpurchaseandintroductionofMPshighandnewtechnologypatentsandrelatedtechniques；

2.STARCOMscarryingoutofallkindsofcommercialapplicationbyrelyingonMPstechnologyandsupport.

3.AuthorizationbyMPtoSTARCOMfortheexclusiveownershipofMPspatentedtechnologyandcommercialrightofuseofitinChinaandinternationalregionsconcerned.

Article2:DefinitionandExplanation

Theagreementgivesthefollowingcleardefinitionstotheexpressionswithspecialmeanings,unlessotherwisespecifiedinthecontext：

1.TechnologicalIntroduction:itreferstothelicense，copyrightanddocumentationneededforoutrightpurchaseofpatentandallthenecessarytechniques,includingthejurisdictionofconsultationandlicensingwithanyChinesecorporation.

2.Consultation:itreferstothetechnicalbackupandmanagementsupportduringtheprocessofbusinessdealing.

3.ConsultingFee:itreferstothemoneypaidinadvanceforthetechnicalservice,orthemoneypaidforthedatafortechnicalandcommercialexchange.
