Lessor:ABCCorporation,havingitsregisteredofficeatXYZStreet,No.123,CityofNewYork,USA,hereinafterreferredtoasLessor.

Lessee:ABCLimited,havingitsregisteredofficeatABCStreet,No.456,CityofHongKong,China,hereinafterreferredtoasLessee.

PREAMBLE:

TheLessoristheownerofacertainproperty,hereinafterreferredtoasthePremises,locatedatXYZStreet,No.123,CityofNewYork,USA.TheLesseeisinterestedinleasingthePremisesforitsbusinessoperations.Therefore,theLessorandtheLesseehaveagreedtoenterintoaleaseagreementforthePremisesonthetermsandconditionssetoutbelow.

TERMOFLEASE:

1.Thetermofthisleaseagreementshallbeforaperiodof10years,commencingonthedateofexecutionofthisagreement.

2.TheLesseeshallhavetherighttorenewthisleaseagreementforafurtherperiodof5yearsuponexpirationoftheinitialterm,providedthattherenewaltermsandconditionsareagreeduponbybothparties.

RENTAL:

3.TheannualrentalforthePremisesshallbeUS$1,000,000.Therentshallbepayableinadvanceonaquarterlybasis.TheLesseeshallmakethefirstrentalpaymentwithin30daysfromthedateofexecutionofthisagreement.

4.IftheLesseefailstomakeanyrentalpaymentontime,theLessorshallhavetherighttochargeinterestontheoverdueamountatarateof5%perannum.

USEOFPREMISES:

5.TheLesseeshallusethePremisessolelyforitsbusinessoperationsandshallnotsubletorassignthePremiseswithoutthepriorwrittenconsentoftheLessor.

6.TheLesseeshallensurethatitsuseofthePremisesdoesnotdisturborinconveniencetheLessororanyothertenantinthevicinity.

ALTERATIONSANDIMPROVEMENTS:
