ThisPaymentTermsandConditionsAgreement(Agreement)ismadeeffectiveasof[InsertDate],byandbetween[InsertCompanyName],acompanyorganizedandexistingunderthelawsof[InsertCountry/State],witharegisteredofficeat[InsertCompanyAddress](Buyer),and[InsertSupplierName],acompanyorganizedandexistingunderthelawsof[InsertCountry/State],witharegisteredofficeat[InsertSupplierAddress](Supplier).)
1.ScopeofAgreement
ThetermsandconditionssetforthhereinshallgovernallpurchasesmadebytheBuyerfromtheSupplier.ThisAgreementshallapplytoalltransactions,orders,andagreementsbetweentheBuyerandtheSupplierunlessotherwiseagreeduponinwriting.
2.PaymentTerms
2.1.Invoicing:TheSuppliershallissueaninvoicetotheBuyerforeachtransactionwithin[InsertNumber]daysofthedeliveryofgoodsorcompletionofservices.Theinvoiceshallincludeadetaileddescriptionofthegoodsorservicesprovided,thequantity,theunitprice,andthetotalamountdue.
2.2.PaymentMethod:TheBuyershallmakepaymenttotheSuppliervia[InsertPaymentMethod(s)-e.g.,banktransfer,creditcard,PayPal]within[InsertNumber]daysofthedateoftheinvoice.FailuretomakepaymentwithinthisperiodmayresultinlatepaymentfeesasoutlinedinSection5.
2.3.PartialPayments:TheBuyermaymakepartialpaymentsuponagreementwiththeSupplier.Eachpartialpaymentshallbeappliedtotheoldestoutstandinginvoicefirst.
3.PaymentAmount
3.1.ThetotalamountduebytheBuyertotheSupplierforthegoodsorservicesshallbeasspecifiedintheinvoice(s)issuedbytheSupplier.
3.2.TheBuyeragreestopayanyadditionalcharges,taxes,orfeesassociatedwiththepurchaseofgoodsorservicesfromtheSupplier,exceptwheresuchchargesarespecificallyexcludedbytheSupplier.
4.DefaultandConsequencesofNon-Payment
4.1.Intheeventofnon-paymentorlatepaymentbytheBuyer,theSupplierm
