1.ScopeofAgreement

2.Delivery

2.2DeliverySchedule:TheSuppliershalldelivertheGoods/ServicesinaccordancewiththedeliveryscheduleprovidedintheattachedscheduleorasotherwiseagreeduponbytheParties.
2.3Acceptance:TheGoods/ServicesshallbedeemedacceptedbytheBuyerupondelivery,providedtheyconformtothespecificationsandconditionssetforthinthisAgreement.
3.Payment
3.1PaymentTerms:PaymentfortheGoods/ServicesshallbemadeinaccordancewiththepaymenttermssetforthintheattachedinvoiceorasotherwiseagreeduponbytheParties.
3.2Invoices:TheSuppliershallissueaninvoicetotheBuyerwithin[NumberofDays]daysofdeliveryoftheGoods/Services.
3.3LatePayment:Intheeventoflatepayment,theSuppliershallbeentitledtochargeinterestontheoverdueamountattherateof[Percentage]perannumfromtheduedateuntilthedateofactualpayment.
