1.ScopeoftheContract
ThisContract(hereinafterreferredtoastheContract)isenteredintobyandbetween[PartyA](hereinafterreferredtoasPartyA)and[PartyB](hereinafterreferredtoasPartyB),collectivelyreferredtoastheParties.TheContractiseffectiveuponthedateofsignaturebybothParties.ThescopeofthisContractincludes,butisnotlimitedto,thefollowingaspects:
1.1TherightsandobligationsofthePartiesinrelationtothesubjectmatteroftheContract;
1.2Thequality,quantity,deliverytime,price,paymentmethod,andothertermsandconditionsofthesubjectmatteroftheContract;
1.3TheresponsibilitiesandliabilitiesofthePartiesincaseofanybreachoftheContract;
1.4ThedisputeresolutionmechanismoftheContract;
2.RightsandObligationsoftheParties
2.1PartyAshall:
2.1.1FulfilltheobligationsstipulatedintheContractingoodfaithandearnestly;
2.1.2Ensurethequality,quantity,anddeliverytimeofthesubjectmatteroftheContract;
2.1.3PromptlyandproperlyhandleanycomplaintsorclaimsraisedbyPartyBregardingthesubjectmatteroftheContract.
2.2PartyBshall:
2.2.1FulfilltheobligationsstipulatedintheContractingoodfaithandearnestly;
2.2.2PaytheagreedpriceforthesubjectmatteroftheContractinatimelymanner;
2.2.3ProperlyhandleanycomplaintsorclaimsraisedbyPartyAregardingthesubjectmatteroftheContract.
3.PaymentTerms
3.1ThePartiesagreetothefollowingpaymentterms:
3.1.1ThepaymentshallbemadeinaccordancewiththepaymentscheduleattachedtothisContract;
3.1.2ThepaymentshallbemadeinthecurrencyagreeduponbytheParties;
3.1.3PartyBshallissueaninvoicetoPartyAuponthecompletionofthesubjectmatteroftheContract,andPartyAshallmakethepaymentwithintheagreedperiod.
4.DeliveryandAcceptance
4.1ThePartiesagreetothefollowingdeliveryandacceptanceterms:
