ThisDistributorAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[DistributorName],a[DistributorType]entitywithitsprincipalplaceofbusinesslocatedat[DistributorAddress](Distributor),and[ManufacturerName],a[ManufacturerType]entitywithitsprincipalplaceofbusinesslocatedat[ManufacturerAddress](Manufacturer).
Recitals
WHEREAS,theManufacturerhasdevelopedandproduces[ProductDescription],whichisahigh-qualityandinnovativeproductthatisindemandinthemarket(Product);
WHEREAS,theDistributordesirestobecomeadistributoroftheProductintheterritorydefinedbelow;
WHEREAS,theManufacturerdesirestogranttheDistributortherightstodistributetheProductintheterritorydefinedbelow;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.GrantofRights
1.1.TheManufacturerherebygrantstotheDistributor,andtheDistributorherebyaccepts,thenon-exclusiverighttodistributetheProductintheterritorydefinedbelow(Territory).
1.2.TheDistributorshallhavetherighttosell,offerforsale,anddistributetheProductwithintheTerritoryinaccordancewiththetermsandconditionsofthisAgreement.
2.Territory
2.1.TheTerritoryforthedistributionoftheProductshallbe[TerritoryDescription],includingallareaswithinthebordersof[Country/Countries/Regions],exceptasotherwiseagreeduponbythepartiesinwriting.
3.TermandTermination
3.1.ThetermofthisAgreementshallcommenceontheEffectiveDate(definedbelow)andshallcontinueforaperiodof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
3.2.EitherpartymayterminatethisAgreementupon[Number]dayswrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinsuchnoticeperiod.
