Parties

ThisLicenseAgreement(“Agreement”)ismadeandenteredintoasof[StartDate],byandbetween[LicensorName],havingitsprincipalplaceofbusinessat[LicensorAddress](“Licensor”),and[LicenseeName],havingitsprincipalplaceofbusinessat[LicenseeAddress](“Licensee”).

IntellectualProperty

1.1LicensorherebygrantstoLicensee,andLicenseeherebyaccepts,a[LicenseType,e.g.,exclusive,non-exclusive,sole]licensetousetheIntellectualPropertydescribedherein.

1.2TheIntellectualPropertysubjectmatterofthislicenseconsistsof:

a)[SpecifyIPDetail1,e.g.,PatentNo.XXXXX,Country:XXX,DateofGrant:XXXX,Title:XXXXX],effectiveasof[EffectiveDate];

b)[SpecifyIPDetail2,e.g.,TrademarkRegistrationNo.XXXXX,Country:XXX,DateofRegistration:XXXX,Mark:XXXXX],effectiveasof[EffectiveDate];

c)[SpecifyIPDetail3,e.g.,Copyrightintheworktitled“XXXX”,RegistrationNo./Date:XXXX,Country:XXX];

d)[AddanyotherrelevantIP,e.g.,TechnicalSecrets,Know-How,SoftwareCode,etc.,providingdetaileddescription];

1.3LicensorrepresentsandwarrantsthatitisthelawfulowneroftheIntellectualPropertylicensedhereunderorhasthefullrightandauthoritytograntthelicensegrantedherein.

LicenseGrant

2.1SubjecttothetermsandconditionsofthisAgreement,LicensorherebygrantstoLicenseea[LicenseType]licensetousetheIntellectualPropertysolelyforthepurposeof[Specifypermittedpurpose,e.g.,manufacturing,marketing,selling,distributing][Specifyproduct/servicenameordescription]within[Specifygeographicalterritory,e.g.,theterritoryofCountryXXXanditsdependencies].
