本2026年中英文保密信息披露协议（以下简称“本协议”）由以下双方（以下合称“双方”，单独称为“一方”）于____年____月____日（以下简称“签署日”）在____（签署地点）本着平等自愿、公平诚信、等价有偿的原则，经友好协商一致签署，以资共同信守。

This2026Chinese-EnglishConfidentialInformationDisclosureAgreement(hereinafterreferredtoastheAgreement)issignedon____(SigningDate)at____(SigningPlace)bythetwopartieshereto(hereinaftercollectivelyreferredtoastheParties,andeachindividuallyreferredtoasaParty)ontheprinciplesofequality,voluntariness,fairness,goodfaithandequalvaluecompensation,throughfriendlynegotiationandconsensus,formutualobservance.

鉴于一方（以下简称“披露方”）拟就特定事项向另一方（以下简称“接收方”）披露其未公开的保密信息，接收方为实现双方约定的合作目的需要接触、知悉该等保密信息；为保护披露方的商业秘密、知识产权及其他合法权益，防范保密信息泄露、滥用等风险，明确双方权利义务，特订立本协议。

Whereasoneparty(hereinafterreferredtoastheDisclosingParty)intendstodiscloseitsundisclosedconfidentialinformationtotheotherparty(hereinafterreferredtoastheReceivingParty)inrespectofspecificmatters,andtheReceivingPartyneedstoaccessandknowsuchconfidentialinformationforthepurposeofrealizingthecooperativeobjectivesagreedbybothParties;inordertoprotecttheDisclosingPartystradesecrets,intellectualpropertyrightsandotherlegitimaterightsandinterests,preventriskssuchasdisclosureandabuseofconfidentialinformation,andclarifytherightsandobligationsofbothParties,thisAgreementisherebyconcluded.
