Parties

ThisSupplyChainDataCollaborationAgreement(theAgreement)isenteredintoasof[Date](theEffectiveDate),byandbetween:

[SupplierCompanyName],acompanyorganizedandexistingunderthelawsof[SupplierJurisdiction],havingitsprincipalplaceofbusinessat[SupplierAddress](Supplier),and

[CustomerCompanyName],acompanyorganizedandexistingunderthelawsof[CustomerJurisdiction],havingitsprincipalplaceofbusinessat[CustomerAddress](Customer).

Background

WHEREAS,SupplierandCustomerareengagedinorintendtoengageinsupplychainactivitiesrelatedto[BriefDescriptionofProducts/Services];

WHEREAS,bothpartiesrecognizethebenefitsofsharingcertainsupplychaindatatoimproveefficiency,transparency,andcollaborationwithinthesupplychain;

WHEREAS,thepartieswishtoestablishaframeworkforthesecureandconfidentialsharingofsupplychaindataformutuallyagreedpurposes.

ScopeofDataCollaboration

1.1Thepartiesagreetocollaborateonthesharingofsupplychaindataasfollows:

a)SuppliershallprovideCustomerwithreal-timeinventorylevelsforallproductssuppliedunderthetermsofthepartiesexistingPurchaseAgreements.

b)CustomershallprovideSupplierwithaggregated,non-personallyidentifiablesalesforecastdataonamonthlybasis.

c)SuppliershallprovideCustomerwithshipmentstatusupdates,includingcarriername,trackingnumber,andestimatedtimeofarrival(ETA)forallinboundshipments.

d)CustomershallprovideSupplierwithproductionscheduleupdatesonaweeklybasis,detailingupcomingproductionrunsforproductssuppliedbySupplier.

e)ThedatasharingshallbelimitedtothespecificpurposesoutlinedinthisAgreementandshallnotincludeanysensitivefinancialdataorproprietarymanufacturingprocessesunlessotherwisespecificallyagreeduponinwritingbybothparties.

2.1Thedatasharingshallbec
