要 分权治理的思想起源历史悠久，理论中心思想是激励合理用权、控制过度用 权。我国加入 WTO 以后，面对全球经济一体化的经营背景和日益加剧的国内外金 融同业竞争，引进和借鉴国外完善的公司治理模式来提高自身竞争力成为国有商 业银行改革的重要途径。任何一种经营管理模式都只是一种参考和借鉴，它不仅 与本土的政治、经济、金融、科学技术环境息息相关，而且与消费者的金融消费 习惯、收入水平存在千丝万缕的关系，更与国有商业银行自身的组织层次结构存 在制约关系。因此，本文所指的国有控股商业银行分权治理是在国有商业银行内 部纵向层次之间实行分权治理，这一概念与以往概念相比，无论是思想内涵和运 行方式上都具有新的实践目的和现实意 。它需要探索的也并非加强对内部控制 人的权力制衡，而是通过对决策层分权治理的功能调整 善来增强国有商业银行 的市场经营活力，目的在于构建有效的中国国有商业银行公司治理模式。 关键词：国有控股商业银行 分权治理 公司治理 1 Abstracts The theory of Power-diversified governance have been existed for a long time, the most important idea is stimulating reasonable power assignment and prevent uncontrolled power-using. Since China entered WTO in 2001, the financial institutions in China have been competing with more and more foreign banks. As the China and world economy integrated, Chinese banks can improve their management levels and improve their competitiveness after learning the sound management rules from foreign counterparts. In this paper, the power-diversified governance of state-owned commercial banks refers to the assignment of power between the headquarters and branches. In contrast with the existing research, the concepts of power-diversified governance in this paper have new suggestions for banking management. What it needs to explain is not how to realize the balance of owners and managers, but how to improve the power-diversified governance to gain a larger market share. The purpose of the paper is to find a new management option for Chinese state-owned commercial banks.
